Wright Medical Group acquired a software-based solutions developer for preoperative planning of shoulder replacement surgery.
Here are six things to know:
1. Wright Medical acquired Imascap in a transaction that will further differentiate its product portfolio and accelerate growth opportunities in the global extremities business.
2. Wright acquired all of Imascap's outstanding equity on a fully diluted basis for total consideration, net of acquired cash, of around $88.8 million. Around $46.9 million will be paid in cash and around $15.6 million in Wright ordinary shares payable at closing.
3. Under the agreement, Wright will pay another $26.3 million in potential earnouts and milestone payments contingent on meeting goals for new software modules and a potential future implant system.
4. Imascap's Glenosys is the preoperative planning software behind Wright's Blueprint 3-D planning software in which surgeons simulate the position of the shoulder using CT image data.
5. Imascap doesn't have any net revenue and will not impact Wright's previously provided 2017 annual net sales guidance, which is expected to hit $740 million to $745 million.
6. The company plans to offer Imascap technology to customers at no cost to the physicians implementing Wright Medical's shoulder products.
